1. Introduction
Kiddiebumz is an e-commerce marketplace owned and operated by Zable Textiles Private Limited, designed specifically for baby essentials and maternity wear. Our goal is to provide a curated platform for quality-focused vendors to sell their products under strict regulatory and operational guidelines. This document outlines the complete policy, onboarding procedure, obligations, and legal responsibilities that sellers must adhere to when operating on the Kiddiebumz platform.

2. Seller Eligibility and Onboarding Process
All prospective sellers must undergo Enhanced Due Diligence (EDD) before being allowed to list products. The following documentation and compliance steps are mandatory:

Mandatory Documents:

• Valid VAT/GST registration

• Corporate Identification Number (CIN)

• Proof of business existence (e.g., trade license, partnership deed)

• Authorized representative's ID and contact details

• Trademark certificate or registration (if applicable)

• Proof of physical address or business location

Due Diligence & Vetting:

• Background verification of business and owners

• Review of business track record and performance history

• Product category validation and compliance check

• Verification of trademark and IP rights

Only after successful verification and approval will a seller be granted access to the seller dashboard and onboarding resources.

3. Product Listing Guidelines
Every product listed on Kiddiebumz must meet our quality, safety, and legal standards. The vetting process ensures no substandard or inappropriate products are sold.

Listing Requirements:

• Products must be strictly related to baby, maternity, or child care.

• Pricing must be inclusive of GST, shipping, packaging, and platform commission.

• Product listings must include:

  • High-resolution images (Kiddiebumz will help you for Photography, Videography or other Content for brand in nominal cost)

  • Accurate descriptions

  • Category alignment

  • SKU/barcode details

Sellers are responsible for maintaining real-time inventory through Kiddiebumz’s centralized inventory system. Failure to do so will result in negative ranking.

4. Inventory, Order Fulfillment & Logistics
Kiddiebumz follows a decentralized fulfillment model where Kiddiebumz arranges for order pickup and ships directly to customers.

Order Dispatch Guidelines:

• Sellers must maintain physical inventory at their premises.

• Kiddiebumz provides standardized packaging materials that sellers must use.

• Orders must be dispatched within the prescribed TAT (Turnaround Time).

⚠️ Non-compliance, such as delayed dispatches, incorrect fulfillment, or failure to hand over orders on time, will result in:

• Negative seller rankings, reducing product visibility in search and recommendations.

• Delayed or withheld payouts for repeated violations.

• Continuous non-compliance may lead to temporary suspension or permanent delisting from the Kiddiebumz marketplace.

Inventory Management & Fulfillment Policy

A. Domestic Fulfillment (Within India):

• Sellers are required to maintain their inventory at their own premises.

• Sellers must accurately sync stock levels with Kiddiebumz’s Centralized Inventory Management System.

• Once an order is placed, the seller must dispatch directly to our authorized delivery partners using Kiddiebumz-provided packaging materials.

• Any mismatch between listed and available inventory may lead to penalties or negative seller ranking.

B. International Fulfillment (Outside India):

• For international orders, sellers must ship inventory to Kiddiebumz’s designated warehouse before products are made live for global sales.

• Kiddiebumz will handle:

  • Warehousing and storage

  • Global order fulfillment

  • Custom clearance, duties, and taxes

  • Last-mile international delivery

Note:
Additional charges will apply for:

• Storage and warehousing services

• Shipping to Kiddiebumz warehouse

• Customs documentation and clearance

• Import/export duties and taxes (as per destination country laws)

These costs must be accounted for in the product pricing to maintain profitability and transparency.

5. Commission & Fee Structure
Kiddiebumz charges category-wise commission rates, which are disclosed during onboarding.

Commission Policy:

• Commission is deducted from each successful sale.

• No listing fee is charged, but fees apply to:

  • Late dispatch

  • Order cancellation

  • Return handling

• Sellers must price products to account for:

  • Kiddiebumz commission

  • Applicable taxes (GST)

  • Delivery partner fees

  • Cost of packaging

6. Payments & Payout Terms
Payout Schedule:

• Payouts are processed via Razorpay directly to your bank current account only.

• A 7-day reserve policy applies to all orders due to our return/exchange window.

• After 7 days of successful delivery with no return:

  • Payment is auto-disbursed to the seller’s verified bank account.

• Returns/refunds will be issued via credit notes until resolution.

• No manual intervention is required unless a dispute is raised.

7. Returns, Refunds & Reserve Policy
To protect buyers and sellers, Kiddiebumz follows a structured return & refund policy:

• Returns accepted within 7 calendar days of delivery.

• Returned items are inspected for condition and fraud prevention.

• A credit hold is applied for return and exchange orders.

• Repeated returns due to seller error (e.g., wrong product, late dispatch) may result in penalties or delisting.

8. Seller Conduct & Code of Ethics
Sellers must not:

• List counterfeit or plagiarized products

• Inflate prices post-listing

• Contact customers directly or offer off-platform transactions

• Share or misuse buyer data

Sellers must:

• Adhere to Kiddiebumz branding and packaging standards

• Maintain professional conduct in all interactions

• Respond promptly to support or compliance queries

9. Data Protection & GDPR Compliance
Kiddiebumz is fully compliant with GDPR and applicable Indian data privacy laws.

Key Points:

• All customer data remains confidential.

• Sellers are prohibited from copying, storing, or using customer information outside of order processing.

• Any breach will result in immediate termination and possible legal action.

10. Marketing, Affiliates & Influencers
Kiddiebumz invests in marketing every listed product via:

• Social media influencers and affiliate marketers

• Video and photo content (created in-house)

• Performance-based marketing campaigns

By listing on the platform, the seller grants Kiddiebumz the right to use product images, descriptions, and content for promotional activities without additional permissions.

11. Shipping, Packaging & Logistics
Kiddiebumz provides standard packaging materials at onboarding or periodically.

Sellers are responsible for:

• Ensuring correct order fulfillment

• Maintaining stock accuracy

• Handing over parcels to designated delivery partners

• Shipping costs are billed separately and must be factored into product pricing.

12. Fraud & Caution Notice
❗ Important: Kiddiebumz does not request deposits, payments, or any confidential data via WhatsApp or unauthorized calls.
Sellers are warned not to fall prey to fraudulent schemes or impersonators. All communication will originate from official domains (e.g., @kiddiebumz.com).

13. Termination & Suspension
Kiddiebumz may suspend or permanently remove a seller for:

• Breach of contract or terms

• Poor order fulfillment

• Negative customer feedback

• Regulatory violations

Sellers can voluntarily close their account by providing 30 days’ written notice.

14. Legal Governance
This agreement is governed by the laws of India.
Legal jurisdiction lies with the courts of [Insert Registered City].
Disputes may be mediated internally before escalation.
